Terms of Service
1. Who we are and what we provide
PlayByPart ("the Service") is operated by RiverThought Technologies Inc. ("we", "us"), contact support@riverthought.com. The Service processes audio recordings and music notation that you upload ("Your Content") to produce separated audio tracks, musical analysis (chords, key, tempo, notes), engraved notation, and synthesized playback ("Outputs"). It is a tool that acts on your instructions; we do not supply, host, index, recommend or share songs.
2. Eligibility and account
You must be at least 18 years old, or at least 13 with the consent and supervision of a parent or guardian who agrees to these terms on your behalf. You are responsible for anyone who uses the Service through your access.
3. Your content and your warranties
You keep all rights in Your Content. By uploading, you grant us a limited licence to store, process and transform Your Content solely to provide the Service to you, and to delete it afterwards. You represent and warrant that:
- you own Your Content or have all permissions necessary to upload it and to create Outputs from it for your personal use;
- your use of the Service and of the Outputs complies with applicable law, including copyright law, in your country;
- Your Content does not contain malware or unlawful material.
The Service is intended for personal study, practice, teaching preparation, and work on your own recordings. You must not use it to reproduce, distribute, publish, sell or perform copyrighted works without authorisation, and you must not upload content you are not entitled to process. Upload of the same copyrighted work by many users does not make any individual upload lawful.
4. Outputs and no guarantee of accuracy
Outputs are produced automatically by machine-learning models and signal processing. They are approximate: separated tracks may contain leakage and artifacts; chords, notes, tempo, key and notation are estimates and may be wrong; optical recognition of scanned notation may miss or misread symbols. We provide Outputs "as is" for your personal use. You are responsible for checking them before relying on them. Nothing in the Service is professional advice.
5. Fees, payment and refunds
Prices are shown on the website: one credit ($3 at the time of writing) covers one file of up to 15 minutes, a song separation or a music-sheet playback; longer recordings use one credit per started 15 minutes; credit packs are sold at a discount and do not expire; the largest pack opens a time-limited loyalty price for extra credits, as described on the pricing page. Credits are attached to a secret key: you are responsible for keeping it private and safe, and credits on a lost key cannot be restored. Credits are charged before processing starts and the exact price is shown first. Payments are processed by PayPal under PayPal's own terms; we do not receive or store your card details. Refunds are governed by our Refund Policy. Prices may change; the price shown when you pay is the price you pay.
6. Acceptable use
You must not: attempt to bypass payment, limits or security; upload content that infringes others' rights; use automated means to access the Service at a rate beyond what a human user would; reverse-engineer the Service; or use Outputs to compete with the Service by reselling processing capacity.
7. Retention and deletion
Your Content and Outputs are stored only as long as needed to deliver them to you and are deleted automatically according to the retention option you select (immediately after download, one hour, or 24 hours after processing), or sooner if you delete them. We may delete content earlier for security or legal reasons. See the Privacy Policy.
8. Copyright complaints
We respond to notices of claimed infringement as described in our Copyright & DMCA Policy, and we may suspend users who repeatedly infringe.
9. Intellectual property in the Service
The Service, its software, design and text belong to RiverThought Technologies Inc. or its licensors. It incorporates open-source components under their own licences, listed on the licences page. These terms do not grant you rights in the Service beyond using it as intended.
10. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Service is provided without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of data, revenue or profits. Our total liability for any claim relating to the Service is limited to the amount you paid us for the processing job giving rise to the claim. Some jurisdictions do not allow these limitations; in that case they apply to the extent permitted.
11. Indemnity
You will indemnify RiverThought Technologies Inc. against claims, damages and costs (including reasonable legal fees) arising from Your Content, your breach of these terms, or your violation of any law or third-party right.
12. Changes and termination
We may change the Service or these terms; material changes will be posted on this page with a new date. We may suspend or terminate access for breach. You may stop using the Service at any time; sections 3, 4, 10 and 11 survive termination.
13. Governing law
These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law rules, and disputes will be resolved in its courts, unless mandatory consumer law in your country of residence provides otherwise.
